Draft filed

This is a draft. SEBI has not cleared it, there is no final price yet, and it may never become an IPO.

Everbrands India Limited operates a Quick Service Restaurant (QSR) vertical, primarily through Master Franchise Agreements with Subway, with a revenue CAGR of 32.68% and latest revenue of Rs 966.17 crore. The IPO consists of a fresh issue of Rs 600 crore with no offer for sale. The company faces high-severity risks regarding revenue concentration from the QSR vertical, dependence on Master Franchise Agreements with Subway Global, and the potential impact of global brand reputation issues on its operations.

What stands out

Risk factor. A significant portion (71.74% for Fiscal 2026) of revenue is derived from the QSR vertical, making the business vulnerable to any adverse development affecting operations, Subway's brand reputation, or the QSR vertical generally.

Risk factor. The business is dependent on the continuance of Master Franchise Agreements (MFAs) with Subway Global; if terminated or amended, it could adversely affect operations, cash flows, and financial condition.

Risk factor. The business is directly tied to the global performance and reputation of Subway International B.V.; factors affecting Subway Global globally (e.g., food safety issues, operational failures, adverse publicity) could materially impact the business.

Primarily fresh capital. 100% of the offer is fresh issue, so most proceeds fund the company.

Low leverage. Debt-to-equity of 0.24x.

Strong revenue growth. Restated revenue CAGR of 32.7%.
